You can keep the '99 auto PCM but that will keep the SES light on full time, with transmission...

Rust would be the major concern - engine cradle behind the driver wheel (may need to remove splash shield / fender liner) and rear door sills. then again, if it's just for the winter, some rust is...

What is a "dealer key" ?

Not sure what you mean by "dealer key"
If you either do not have a key for your car, or your key is extremely worn, the dealer can use the VIN to look up the pattern...

I think I read (from OldNuc, maybe?) that they work fine until they fail.

They fail when hot, and letting it cool down means you can start the car again and it will run until it overheats again....
